Welcome to Cook's Companion Recipes ("we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website located at www.cookscompanion.com (the "Site") and all content, services, and products available through the Site.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Site.

1. Acceptance of Terms

By using our Site, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this Site.

You may not use our products or Site for any illegal or unauthorized purpose nor may you, in the use of the Site, violate any laws in your jurisdiction (including but not limited to copyright laws).

2. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. 4. Intellectual Property Rights

These Terms permit you to use the Site for your personal, non-commercial use only. You must not:

• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text

You represent and warrant that:

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Cook's Companion Recipes, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

6. Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations.

Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy
• Be likely to deceive any person
• Promote any illegal activity, or advocate, promote, or assist any unlawful act
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person
• Impersonate any person or misrepresent your identity or affiliation with any person or organization
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising
• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case

7. Copyright Infringement

If you believe that any User Contributions violate your copyright, please send us a notice of copyright infringement containing the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
• Your contact information, including your address, telephone number, and an email address
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner

The owner of the Site is based in the United States. We make no claims that the Site or any of its content is accessible or appropriate outside of the United States. 16. Indemnification

You agree to defend, indemnify, and hold harmless Cook's Companion Recipes, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

17. Governing Law and Jurisdiction

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City and County of San Francisco, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

18. Waiver and Severability

No waiver by Cook's Companion Recipes of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Cook's Companion Recipes to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

19. Entire Agreement

The Terms, our Privacy Policy, and any other policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and Cook's Companion Recipes regarding your use of the Site and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written.
